    Listed Firms Hold AGMs Electronically

    Due to the ongoing Covid-19 pandemic and the government directive prohibiting public gatherings, shareholders of listed companies in Kenya are currently not able to physically attend their companies’ Annual General Meetings.

    However, some listed firms have applied to the Capital Markets Authority requesting to hold their AGMs electronically. Shareholders in these companies will be able to register for, access information pertaining to the Integrated Report and the Audited Financial Statements via electronic means.

    ABSA Kenya will hold the 41st AGM electronically on Friday June 19 at 10:00AM. Agenda includes;

    • •To confirm the interim dividend of Kshs. 0.20 per ordinary share paid on October 11, 2019 and to declare a final dividend of Kshs. 0.90 per ordinary share payable, net of withholding tax, on June 19, 2020 to shareholders on the Register of Members as at the close of business on June 03, 2020. The dividend for the full year will be KSh 1.10 per share.
    • •To approve the appointment of EY Kenya as the Auditors of the Company
    • •SPECIAL businesss- Make changes in the Memorandum and Articles of Association to recognize the changes of the names of the Company and its parent Company; Update the Articles of Association to be in compliance with the Companies Act, 2015

    Total Kenya plc. will hold the 66th AGM on Friday June 26 via electronic means at 09:00AM. Agenda includes;

    • •To approve the payment of a first and final dividend of Ksh1.30 per share in respect to the FY ended 31 December 2019 payable on or around 31 July 2020 payable on or around 31 July 2020 to the holders of Ordinary Shares and Redeemable Preference Shares on record at the close of business on 26 June 2020.
    • •To re-appoint Messrs Ernst & Young LLP as Auditors of the Company
    • •To individually appoint the members of the Board Audit Committee and re-election of directors.

    Diamond Trust Bank will hold its 54th on June 25 at 11:00AM via electronic means. Agenda for the meeting include;

    • •Approve final dividend of 67.5% on the issued and paid-up share capital to the shareholders
    • •To elect director as Ismail Mawji and Linus Gitahi retire by rotation and offer themselves for reelection
    • •Reappointment of KPMG Kenya as the company’s auditor.
